Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Baxance CRM platform operated by Baxance Ltd ("Baxance", "we", "us"). By accessing or using our service, you agree to be bound by these Terms.

1. Acceptance of Terms

By registering an account or using the Baxance CRM service, you confirm that you are at least 18 years old, have authority to bind your organisation if registering on its behalf, and accept these Terms in full.

2. Subscription Plans & Billing

Baxance CRM is offered on a subscription basis. Fees are charged monthly or annually depending on your selected plan. All fees are non-refundable except as expressly stated in our Refund Policy. We reserve the right to change pricing with 30 days' written notice.

3. Free Trial

New accounts receive a 14-day free trial. No credit card is required to start. At the end of the trial period, you must subscribe to continue using the platform. Unused trial features do not carry over to paid plans.

4. Acceptable Use

You agree not to use the platform to:

  • Transmit spam, unsolicited messages, or illegal content
  • Attempt to reverse engineer, hack, or compromise the platform
  • Violate any applicable laws or third-party rights
  • Resell or sublicense the service without written permission

5. Data & Intellectual Property

You retain ownership of all data you import into or generate within Baxance CRM. By using the platform, you grant us a limited licence to process and display your data solely to provide the service. All platform IP, including the software, design, and brand, remains the exclusive property of Baxance Ltd.

6. Uptime & Service Levels

We target 99.9% monthly uptime excluding scheduled maintenance windows. Downtime credits may be available for significant outages as outlined in our SLA documentation.

7. Confidentiality

Both parties agree to keep each other's confidential information secure and not to disclose it to third parties without prior written consent, except as required by law.

8. Limitation of Liability

To the maximum extent permitted by law, Baxance's total liability for any claim arising under these Terms shall not exceed the fees paid by you in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

9. Termination

You may cancel your subscription at any time. Baxance may suspend or terminate your account immediately if you breach these Terms. Upon termination, your data will be available for export for 30 days before deletion.

10. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
